CHICAGO BEARS GAMEDAY PREMIUM TRANSPORTATION SERVICE TERMS & CONDITIONS

PLEASE READ CAREFULLY. THESE TERMS CONTAIN ARBITRATION AND CLASS ACTION WAIVER PROVISIONS THAT IMPACT YOUR LEGAL RIGHTS. PLEASE REVIEW THESE TERMS CAREFULLY FOR MORE INFORMATION.

Tickets to Chicago Bears Premium Gameday Transportation Service are revocable licenses that grant a one-time entry onto the charter bus (each, a "Vehicle"), for transportation to the specified Chicago Bears football game and a return trip to the original pick-up location (the "Transportation Service"). The purchaser and/or bearer of tickets for the Transportation Service (regardless if the individual personally purchased the ticket), including all other attendees accompanying any ticket bearer (on whose behalf the purchaser and/or bearer represents they are authorized to act for purposes of agreeing to these terms) (each of the foregoing hereinafter a "Holder"), agrees that (i) such license is subject to these terms ("Terms"), and (ii) by purchase, acceptance and/or use of such license, each Holder is deemed to have read and understood the Terms, and agreed to be bound by them. Failure to comply with the Terms shall result in forfeiture of the license and all rights of Holder arising under it without refund and entitle The Chicago Bears Football Club, Inc. ("Club") and/or, if applicable, Echo Windy City, LLC d/b/a Echo Windy City Transportation (individually or collectively, "Management") to pursue all legal remedies available. Admission to the Vehicle and/or the applicable Chicago Bears football game may be refused or revoked, and Holder may be ejected in Management's sole discretion. Management reserves the right to revoke or restrict ticket purchase, ticket usage and/or ticket acceptance for any reason with no advance notice. Club reserves the right at any time, and without prior notice, to modify, amend or supplement the Terms.

ALL TICKET SALES ARE FINAL. NO REFUNDS OR EXCHANGES EXCEPT AS PROVIDED HEREIN. THE SOLE AND EXCLUSIVE REMEDY if admission is refused or revoked, or the Transportation Service is canceled and not rescheduled for any reason, or for any breach of the Terms, is a refund of up to the ticket price set by Club ("Face Value"). IN NO EVENT SHALL HOLDER BE ENTITLED TO ANY SPECIAL, CONSEQUENTIAL, INCIDENTAL, INDIRECT OR EXEMPLARY DAMAGES OF ANY KIND INCLUDING, WITHOUT LIMITATION, ANY AMOUNT PAID IN EXCESS OF FACE VALUE FOR THE TICKET.

ANY DISPUTE, CLAIM, OR CAUSE OF ACTION IN ANY WAY RELATED TO THE TICKET OR THE TRANSPORTATION SERVICE SHALL BE RESOLVED BY MANDATORY, CONFIDENTIAL, FINAL, AND BINDING ARBITRATION IN CHICAGO, ILLINOIS ADMINISTERED BY THE AMERICAN ARBITRATION ASSOCIATION IN ACCORDANCE WITH ITS CONSUMER ARBITRATION RULES, REGARDLESS OF WHERE HOLDER RESIDES OR FROM WHERE THE TICKET WITH WHICH HOLDER SEEKS ADMISSION WAS PURCHASED. HOLDER AND MANAGEMENT AGREE THAT ALL DISPUTES SHALL BE ARBITRATED ON AN INDIVIDUAL BASIS. HOLDER UNDERSTANDS, ACKNOWLEDGES AND AGREES THAT THEY ARE WAIVING THEIR RIGHT TO A COURT OR JURY TRIAL AND ANY RIGHT TO LITIGATE OR ARBITRATE ANY CLAIM AS A CLASS ACTION, REPRESENTATIVE ACTION, OR CLASS ARBITRATION. ANY ARBITRATION AWARD SHALL BE LIMITED TO ACTUAL DAMAGES AND REASONABLE AND DOCUMENTED ATTORNEYS' FEES. JURISDICTION FOR ANY FILING OR APPEAL OF AN ARBITRATION AWARD IS APPROPRIATE ONLY IN THE UNITED STATES DISTRICT COURT FOR THE NORTHERN DISTRICT OF ILLINOIS. HOLDER AGREES AND ACKNOWLEDGES THAT ANY DISPUTE, INCLUDING THE FACT AND OUTCOME OF ARBITRATION, IS STRICTLY CONFIDENTIAL. HOLDER UNDERSTANDS THAT THIS CONTRACT CONTAINS A BINDING ARBITRATION CLAUSE THAT MANAGEMENT OR HOLDER MAY ENFORCE. IF HOLDER DOES NOT CONSENT TO THIS CLAUSE, HOLDER MUST NOT ENTER THE VEHICLE OR USE THE TRANSPORTATION SERVICE IN ANY WAY. ABSENT HIS/HER AGREEMENT TO ARBITRATE AND WAIVER OF HIS/HER RIGHT TO A TRIAL BY JURY, MANAGEMENT WOULD NOT PERMIT HOLDER TO PURCHASE A TICKET. THIS CLAUSE IS GOVERNED BY THE FEDERAL ARBITRATION ACT.

The Transportation Service dates and times are subject to change at Club's sole discretion, and no such change shall entitle Holder to a refund or other remedy at law or in equity if Holder cannot attend the applicable Chicago Bears football game or for any other reason. Holder acknowledges that the Transportation Services being provided to Holder may be delayed, interrupted, rerouted, substituted, or cancelled because of mechanical failure, traffic, road closures, weather, accidents, governmental action, labor disruptions, passenger conduct, safety concerns, game delays or cancellations, or other circumstances outside of Management's reasonable control. Management does not guarantee any departure time, arrival time, route, vehicle, seat assignment, or amenity. Management does not assume any responsibility or liability for Holder failing to board the Transportation Service at the designated departure times and has no responsibility to provide alternative transportation for any Holder that is not at the designated departure location(s) at the designated departure times.

Holder hereby represents and warrants that they are above twenty-one (21) years of age and hereby consent to age verification by providing a form of government-issued photo identification upon request by Management. Management will require Holder to present a valid government-issued photo identification and may verify Holder's identity against a passenger manifest prior to boarding. Failure to provide photo identification confirming that Holder is above twenty-one (21) years of age may result in the denial of Holder's entry onto the Vehicle. Club, in its sole discretion, shall have the right to deny the provision of alcohol to any passenger for any reason. Without limiting the foregoing, Club may limit, suspend or discontinue alcohol service at any time, including for all return transportation following the applicable game. Holder may not bring onto the Vehicle any alcoholic beverages or other intoxicating substances not expressly provided or authorized by Club, nor shall Holder bring illegal drugs or drug paraphernalia, Weapons (as defined below), or projectiles onto the Vehicle. Any such items are prohibited and may be confiscated by Management in its sole discretion without compensation or return. Violation of this prohibition may result in denial or revocation of admission to the Vehicle without refund. No smoking is allowed. Holder and Holder's belongings may be searched or assessed prior to entering the Vehicle. Prohibited items may be confiscated in Management's sole discretion. Holder consents to such searches and assessments and waives all related claims. Holder acknowledges that Management shall not be responsible for personal items brought onto or left on the Vehicle and waives all related claims, including with respect to lost, stolen, misplaced, or damaged property. If Holder does not consent, Holder acknowledges Management has the right to deny or revoke Holder's admission to the Transportation Service and/or the applicable Chicago Bears football game without refund. Club reserve*s the right to deny or revoke the admission of, and to ban from future NFL games and events, any person who it determines, in its sole discretion, poses a risk to the health, safety, or enjoyment of other attendees or whose conduct violates these Terms, any Transportation Service policies, or is otherwise disorderly (or complicit therein) without refund.*

Any conduct deemed dangerous, disorderly or disruptive, inappropriate, profane, threatening, illegal, or otherwise in violation of these Terms is strictly prohibited, including but not limited to interfering with the driver, failure to abide by reasonable safety regulations or refusing reasonable requests relating to age verification, passenger identification, boarding procedures, or safety requirements that may be established by the Management or the driver, and/or being visibly intoxicated. Violators may be removed from the Vehicle and subject to arrest and prosecution, forfeiture of ticket privileges to the Transportation Service and/or future Chicago Bears football games, and other penalties including up to a lifetime ban from the Transportation Service and/or Chicago Bears football games. Violators may also be subject to civil penalties and/or fines, as well as financial liability for any damages, costs or injuries incurred as a result of such conduct. Such conduct constitutes a serious breach of safety and security protocols, and violators assume any and all risks associated therewith, including the risk of personal injury (including death), and the risk of loss or damage to personal property.

Holder grants irrevocable permission to NFL, Management, and their respective sponsors, licensees, advertisers, broadcasters, designees, partners and agents to use, publish, distribute and/or modify Holder's image, likeness, voice, actions and statements in any medium including, without limitation, audio, video, or images of the Transportation Service for any purpose without further authorization or compensation, and waives all claims and potential claims relating to such use unless prohibited by law.

Holder may not possess or have under Holder's control or within Holder's property any Weapon. A "Weapon" includes, but is not limited to, any gun, firearm, taser, explosive, incendiary device, knife, dagger, dirk, blade, or other similar object capable of causing physical injury. Management reserves the right to determine in real time whether an object is a Weapon. Any Holder who violates this prohibition will be removed from the Transportation Service and may be subject to arrest and prosecution, as well as forfeiture of current and future ticket privileges with Management and/or NFL events, and other penalties.

HOLDER KNOWINGLY AND VOLUNTARILY ASSUMES ALL RISKS, HAZARDS, AND DANGERS incident to the Transportation Service and related events, including the risk of personal injury (including death), exposure to communicable diseases, viruses, bacteria or illnesses (including, e.g., COVID-19), or the causes thereof, or lost, stolen or damaged property, whether occurring before, during, or after the Transportation Service, however caused, and hereby waives all claims and potential claims relating to such risks, hazards and dangers.

RELEASE, WAIVER & COVENANT NOT TO SUE. On behalf of Holder and Holder's Related Persons, Holder knowingly and voluntarily releases and covenants not to sue each of the Released Parties with respect to any and all claims that Holder or any of Holder's Related Persons may now have or that hereafter accrue, whether known or unknown, against any of the Released Parties that relate to any of the risks, hazards and dangers described above, or resulting from anything which has happened up to now, including without limitation any and all claims that arise out of or relate in any way to Holder's or any of Holder's Related Persons' entry into, or presence within or around, the  Transportation Service whether caused by any action, inaction or negligence of any Released Party or otherwise. HOLDER UNDERSTANDS THAT THEY ARE RELEASING AND WAIVING CERTAIN POTENTIAL RIGHTS HELD BY HOLDER AND HOLDER'S RELATED PERSONS. TO THE EXTENT APPLICABLE, HOLDER KNOWINGLY AND VOLUNTARILY WAIVES THE PROVISIONS OF SECTION 1542 OF THE CALIFORNIA CIVIL CODE AS AGAINST EACH RELEASED PARTY WITH REGARD TO CLAIMS RELEASED HEREBY AND ACKNOWLEDGES AND AGREES THAT THIS WAIVER IS AN ESSENTIAL AND MATERIAL PART OF THESE TERMS.  HOLDER FURTHER ACKNOWLEDGES THE SIGNIFICANCE AND CONSEQUENCES OF THE RELEASE AND THE SPECIFIC WAIVER OF SECTION 1542 OF THE CALIFORNIA CIVIL CODE.

As used herein:

• "Related Persons" means Holder's heirs, assigns, executors, administrators, next of kin, anyone attending the Event with Holder (which persons Holder represents have authorized Holder to act on their behalf for purposes of agreeing to the Terms, including the release herein), and other persons acting or purporting to act on Holder's or their behalf.

• "Released Parties" means: (i) The Chicago Bears Football Club, Inc., NFL Ventures, Inc., NFL Ventures, L.P., NFL and its member clubs, Echo Windy City, LLC and each of their respective direct and indirect affiliates, administrators, designees, licensees, agents, owners, officers, directors, employees, contractors (and their employees) and other personnel;; and (ii) any parents, subsidiaries, affiliated and related companies and officers, directors, owners, members, managers, partners, employers, employees, agents, contractors, subcontractors, insurers, representatives, successors and/or assigns of each of the foregoing entities and persons, whether past, present or future and whether in their institutional or personal capacities.

Management is not responsible for lost, stolen, destroyed, duplicated or counterfeit tickets and may refuse to honor them. Tickets may not be used for, or in connection with, any form of commercial purposes including, without limitation, advertising, promotions, contests, sweepstakes, giveaways, gambling or gaming, without the express written consent of the Club. Use of tickets in violation of these Terms or the law is strictly prohibited and will result in seizure, revocation and/or forfeiture of the license and all rights of Holder arising under it without refund.

If any provision of these Terms is determined to be invalid, illegal, or unenforceable, it shall be deemed severed and not affect the enforceability of any other provisions, which shall be enforced as if these Terms did not contain the invalid, illegal, or unenforceable provision.

Transportation Service tickets are subject to sales tax, unless exempt by operation of law. All applicable federal, state, and local laws shall apply and will be strictly enforced by law enforcement and/or the Club. Holder shall obey all instructions, directions and requests of the Club's staff, the Transportation Service's staff, and all of Management's rules and regulations.

The failure by Management to enforce any one or more terms of these Terms, or any policies or regulations of Management's, shall not serve as a waiver with respect to any such terms, conditions, policies or regulations for any future cases. Nothing contained herein shall be construed to create any duty or obligation of Management to create, enforce, guarantee, or monitor any regulations, policies, procedures, or situations related to the Transportation Service or Holder's use of its ticket.

These Terms shall be governed exclusively by the provisions hereof and by the laws of the State of Illinois and is intended to be as broad and inclusive as permitted by such laws, without giving effect to any choice of laws or conflict of law rules (whether of Illinois or any other jurisdiction) which would limit the application of the laws or of the jurisdiction of the laws of the State of Illinois.

HOLDER ACKNOWLEDGES THAT HOLDER HAS READ AND UNDERSTANDS THESE TERMS AND THAT HOLDER IS VOLUNTARILY GIVING UP SUBSTANTIAL LEGAL RIGHTS, INCLUDING THE RIGHT TO SUE THE RELEASED PARTIES.
